CONSTITUTIVE ACT
The International Federation of Beekeeping Associations -APIMONDIA, which operates as a non-governmental organization with special consulting status before the United Nations Organization for Food and Agriculture (F.A.O.) and whose purpose is to promote and develop international cooperation in the field of beekeeping, in its position of founder, unanimously decided to create in Romania a foundation - a non-governmental organization with distinctive legal status, which should operate as a romanian private autonomous non-political legal persona, and which should be a base for:
- scientific, technical and economic development of beekeeping both in Romania and in the entire world;
- closer relations and cooperation at various levels between beekeepers, the organizations acting in the interest of beekeepers and beekeeping, and other interested circles;
- support of any initiative that should contribute effectively to the improvement of the beekeeping practice and to the profitable distribution of products resulted from this activity,
using the potential and means of its own sectors and production and development units.
The name of the foundation is Fundatia Institutul International de Tehnologie si Economie Apicola (abbreviated as F.I.I.T.E.A.).
FIITEA operates for an indefinite period of time, according to its own registered rules of organization and operation, based on Decree 370/1970.
FIITEA headquarters are in Bucharest, 42A Ficusului Blvd., sector 1.
FIITEA's patrimony consists in its own funding sources, contributions and other resources, according to the Statute.
FIITEA management and administration are provided by the Managing Committee and the General Director.
The Managing Committee is FIITEA's Management.
General rules on the organization and operation of the Managing Committee are set by Statute.
The composition of the Managing Committee is the following:
- President: Jorgensen Asger Sogaard, of Danish citizenship, based in Mollevej 15, DK 4140 Denmark, identified by Passport no. 100204753, issued by Politimesterer I Koge, Denmark, on June 26, 1997 and valid until June 26, 2007.
- Member: Riccardo Jannoni Sebastianini, of Italian citizenship, based in Via San Damaso, 49 - 00165 Rome, Italy, identified by Passport no. 377902P, issued by Chestura di Roma, on March 18, 1996 and valid until March 17, 2006.
- Member: Octaaf van Laere of Belgian citizenship, based in Dekokerlaan 13, B-9940 Evergem, Belgium, identified by Passport no. 276006514178, issued by Evergem, on 11.01.99 and valid until 11.01.09.
- Member: Dr. Wolfgang Ritter of German citzenship, based in 79117 Freiburg, Germany, Welchentalstr 14, identified by Passport no. 6642381194 issued by Freiburg Breisgau on 25.05.2000
- Member: Cristian Constantinescu of Romanian citizenship, based in Bd. Aviatorilor 76, sector 1, Bucharest, Romania, Personal ID code 1400425400080, identified by I.D seria BC no. 138751, issued by Bucharest Police 1, on September 15, 1980.
Membership in the Managing Committee is obtained in one of the following ways:
a) appointment by the founder - at the beginning of the initial mandate or in the situation that, during the mandate of the Managing Committee there are vacancies amongst its members;
b) nomination made by the Committee and confirmed by the founder (in decision of APIMONDIA) in the case that, during the Managing Committee's mandate, there are vacancies amongst its members.
c) The President and the General Secretary of Apimondia, as well as the General Director of FIITEA are rightful members of the Managing Committee.
Situations leading to the loss of membership are:
a) loss of capacity to use/exercise or impossibility to exercise membership prerogatives;
b) withdrawal by own request addressed to the Managing Committee;
c) call-off membership in Court decision for activities seriously conflicting FIITEA's purpose;
d) in the case of foreign citizens who are both members of the Managing Committee and of APIMONDIA Executive Council as result of the loss of membership in the latter.
The General Director is the current management and administration body of FIITEA.
The General Director should be a Romanian citizen.
The attributions and responsibilities of the General Director, and his/her appointment are provided in the Statute.
The situations leading to the loss of quality of General Director are the following:
a) loss of capacity to use/exercise or impossibility to exercise membership prerogatives
b) withdrawal by own request addressed to the Managing Committee
c) by revoking decided in Court only in the case that subsequent to his/her failure to meet obligations according to the Statute, the General Director carries activities that seriously run counter to the purpose provided in Chapter I Title II in the Statute - the demand for revoking requested by the Managing Committee being based on its decision unanimously taken, with all the four votes of the other members of the Managing Committee.
General Director, at the date of the creation of FIITEA, is Cristian Constantinescu, Romanian citizen, resident of Bucharest, Romania, Bd. Aviatorilor 76, sector 1, Personal ID code 1400425400080, identified by I.D. seria BC no. 138751, issued by Bucharest Police 1, on September 15, 1980.
FIITEA internal financial control is ensured by an Auditor (Cenzor)
FIITEA Auditor is S.C. Elite Consulting S.A, J40/18376/1994
Modification / completion of Regulations of FIITEA organization and operation, namely of the Constitutive Act or the Statute, is done at the proposal of any member of the Managing Committee and adopted by the Managing Committee by unanimous vote of the five members.
